B e n e f i t s F und T r u s t PUKWANA YA KGANYA IMPORTANT NOTICE FOR MEMBERS OF THE KGANYA BENEFITS FUND TRUST FROM HIS GRACE THE RIGHT REVEREND BISHOP DR B E LEKGANYANE As a member of the Kganya Benefits Fund Trust (" the Trust ") who is in good standing, your membership rights entitle you cost-effective burial, dread disease and personal accident cover (“ insured benefits ”); and other benefits such as Leeto la Moria benefits, roadside assistance benefits, funerary management benefits and good health assessment benefits (in the case of church committee members who are member beneficiaries) (" non-insured benefits "). Due to a change in the insurance law which impact the manner in which the Trust operates, the Trust has no choice but to effect certain changes in the way it operates, by amending the trust deed of the Trust, and amending and/or repeal and replace the regulations issued by the Trust (collectively " the changes "). These changes will affect your membership rights. Please visit your local church to collect a flyer with important information regarding the changes to your membership rights. You must collect this flyer before 6 July 2022. IN SUMMARY, THE FOLLOWING INFORMATION IS IMPORTANT: • If you are a member of the Trust, you will remain a member of the Trust. • If you qualify as a member beneficiary you will remain a member beneficiary despite the changes, entitled to the benefits of the Trust, for as long as you pay your monthly membership contributions . • Your monthly membership contributions will remain the same and will not change or be affected as a result of the changes. • Currently, all member beneficiaries receive cover for burial, dread disease and personal accident incidents through group policies underwritten by Sanlam Developing Markets Limited (" Sanlam "). Due to changes in the insurance law, the Trust and Sanlam may no longer continue with the group policies. • The Trust will therefore no longer provide and/or procure the insured benefits through the group policies. However, your insured benefits will not be lost when the changes are implemented . • When the changes are implemented, the following should be noted: o As a member beneficiary you will receive a Pukwana ya Kganya insurance contract (or a Thari ya Baruti Pukwana ya Kganya insurance contract in the case of committee members who are member beneficiaries), collectively referred to as a " Pukwana ya Kganya insurance contract ", underwritten by Sanlam. You will become a policyholder of Sanlam for the same insured benefits previously procured by the Trust in terms of the group policies. Sanlam makes an offer to you as a member beneficiary to enter into the Pukwana ya Kganya insurance contract. o The changes will only change the way in which member beneficiaries will have access to insured benefits, which will be by replacing the vested benefits currently enjoyed through the Trust, with i) a vested right against the Trust for payment of premiums in terms of the Pukwana ya Kganya insurance contract; and ii) a right against Sanlam in terms of the Pukwana ya Kganya insurance contract for the insured benefits. o As a member beneficiary, the Trust will pay the premiums to Sanlam for as long as you pay your monthly membership contribution to the Trust . If you do not pay your membership contribution to the Trust, the Trust will not pay the premiums to Sanlam and your valuable insurance benefits may be forfeited . o By receiving a Pukwana ya Kganya insurance contract, if you have a claim for any of the insured benefits, you must claim against Sanlam. o There will be no difference in the way claims for insured benefits are handled. o The Trust will, from your monthly membership contribution, make a donation to the ZCC on your behalf as a member beneficiary. o The Trust will continue to provide and/or procure access to the non-insured benefits in exactly the same way. APPROVAL FOR THE CHANGES • To implement the changes, an amendment to the trust deed and the regulations of the Trust is required. The changes must, however, be approved by the High Court of South Africa (Gauteng Division, Pretoria). The High Court will also consider the offer made by Sanlam in terms of the Pukwana ya Kganya insurance contract, and all such other matters related to the changes. • In the Court Application, the Court will be requested to order that Sanlam is authorised to issue a policy to you, and that Sanlam do so. • The trustees of the Trust will apply to the High Court of South Africa (Gauteng Division, Pretoria for approval of the changes (" Court Application "). • The Court Application has been issued from the High Court of South Africa, Gauteng Division, Pretoria, under case number 62972/2021 . • If you want to object to the changes , you can do so by filing a notice of intention to oppose the Court Application at the High Court of South Africa (Gauteng Division, Pretoria) on or before 20 July 2022 . • If you file a notice of intention to oppose the Court Application, the notice must also be delivered to the applicants’ attorneys, Webber Wentzel at 90 Rivonia Road, Sandton, 2196, or per email to kganya@webberwentzel.com , for the attention Z Swanepoel / D Prinsloo. In your notice of intention to oppose you must appoint an address where you want to and will receive further notices and documents in the Court Application, which address must be in a 15 kilometre radius from the court (“ the Address ”). • If you file a notice of intention to oppose on or before 20 July 2022, you must file an answering affidavit within 15 court days (business days) thereafter and also deliver a copy thereof to the applicant's attorneys. Webber Wentzel per the above details. • The Court Application will be heard on 3 August 2022 , or in the event of you opposing the Court Application, on a date to be determined by the Registrar of the High Court. The Applicant`s attorneys will inform you of this date by sending a notification of the date to the Address. • If you do not oppose the Court Application, you do not have to do anything. WHEN WILL THE CHANGES BECOME EFFECTIVE? • If the High Court approves the Court Application, the changes will take effect from 1 January 2023 (" Effective Date "). • This means that the changes to your membership, as well as the Pukwana ya Kganya insurance contract, will become effective from the Effective Date. The Court Application can also be found on Kganya’s website at www.mykganya.com.
